These Terms & Conditions (“Terms”) govern your use of the websites, platforms and services provided by CastGlobe Corporation (“CastGlobe”, “we”, “us”, or “our”), including but not limited to digital marketing, reputation management, website design, software platforms and related consulting (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you should not use our Services.

1. Eligibility and Account Registration

• You must be at least the age of majority in your jurisdiction and have the legal authority to enter into contracts on behalf of yourself or the business you represent.
• When you create an account or sign an agreement with us, you must provide accurate and complete information and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2. Scope of Services

CastGlobe offers services that may include:

• website design and development (using custom or template-based designs)
• search engine optimization (SEO) and content creation
• Google Business Profile and local SEO management
• online reputation and review management
• pay-per-click campaign management (e.g., Google Ads, Meta Ads, Microsoft/Bing Ads)
• social media management and posting
• marketing automation, reporting and dashboards through CastGlobe platforms (such as Market360 and other SaaS products)
• consulting, strategy and training.

The exact services, deliverables, timelines and fees will be described in a separate proposal, order form, statement of work or subscription plan (collectively, the “Service Agreement”). In case of conflict, the Service Agreement prevails over these general Terms.

3. Client Responsibilities

You agree to:

• provide all required information, content and approvals in a timely manner;
• ensure that any text, images, videos, logos or other material you supply do not infringe the rights of third parties and comply with applicable laws;
• maintain active access to required platforms (e.g., Google, Meta, website hosting) and promptly grant or renew permissions we need to perform the Services;
• comply with all rules and terms of third-party platforms (Google, Meta, Microsoft, etc.);
• review deliverables and reports and promptly notify us of any issues.

You are solely responsible for the accuracy of business information (such as business name, address, phone number, pricing, hours of operation and legal notices) appearing on your website, listings and ads.

4. Templates, Intellectual Property and Licenses

4.1 Our materials

Unless otherwise stated in a written Service Agreement:

• CastGlobe retains all intellectual property rights in any templates, frameworks, software, scripts, designs, processes and tools we use to deliver the Services.
• We grant you a non-exclusive, non-transferable, revocable license to use the final deliverables (such as website layouts, graphics and copy we create specifically for you) for your own business purposes.

You may not resell, redistribute or sublicense our templates, platforms or proprietary tools without our written permission.

4.2 Your materials

You retain all rights to content you provide to us. You grant CastGlobe a limited license to use, reproduce, modify and display your content solely for the purpose of providing the Services and promoting your business.

You represent and warrant that you have all rights and permissions necessary to provide such content and that it does not violate the rights of any third party.

4.3 Portfolio and marketing

Unless you request otherwise in writing, you grant CastGlobe permission to:

• display your logo, website screenshots and high-level results (without revealing sensitive data) in our portfolio, case studies and marketing materials;
• identify you as a client on our websites and proposals.

5. Fees, Payment and Taxes

• Fees and billing schedules are defined in your Service Agreement or subscription plan.
• Unless otherwise stated, all amounts are in Canadian dollars and exclusive of taxes (such as HST), which will be added where applicable.
• You are responsible for paying all invoices by the due date. We may suspend or discontinue Services if payment is late.
• Advertising spend paid directly to platforms (e.g., Google Ads, Meta Ads) is separate from our management fees and remains your responsibility, unless explicitly stated otherwise.

For ongoing subscriptions, fees may be charged automatically to the payment method on file. You are responsible for keeping payment information current.

6. Changes, Revisions and Delays

We will make reasonable efforts to accommodate your requests for changes and revisions within the scope of the Service Agreement. Significant changes, additional features or scope increases may result in additional fees and extended timelines.

Any delays caused by your failure to provide information, approvals or access on time may postpone delivery dates. CastGlobe is not liable for delays outside our reasonable control (including third-party outages or platform policy changes).

7. Term and Termination

The term of your engagement with CastGlobe is defined in your Service Agreement or subscription plan.

Either party may terminate the Services:

• for convenience, in accordance with the notice period stated in the Service Agreement or, if none is specified, with 30 days’ written notice, or
• immediately, if the other party materially breaches these Terms and does not cure the breach within a reasonable period after being notified.

Upon termination:

• you must pay all amounts owed for work performed and expenses incurred up to the effective termination date;
• any ongoing campaigns, ads or automations may be paused or removed;
• your access to certain SaaS features may be discontinued in accordance with the subscription terms.

Sections that by their nature should survive termination (such as Fees & Payment, Intellectual Property, Limitation of Liability and Indemnity) will continue to apply.

8. Third-Party Platforms and Services

Our Services often rely on third-party platforms (Google, Meta, Microsoft/Bing, BrightLocal, hosting providers, etc.). We do not control these platforms and are not responsible for:

• their availability, performance, fees or policies;
• changes to algorithms, advertising rules or account suspensions imposed by those platforms;
• data loss or downtime caused by third-party failures.

You agree to comply with all applicable third-party terms of service. Any breach of platform rules by you may impact our ability to deliver Services and may be treated as a breach of these Terms.

9. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available”, without any warranties or guarantees of any kind, whether express, implied or statutory.

CastGlobe does not guarantee:

• specific rankings, traffic levels, lead volume, revenue or advertising outcomes;
• uninterrupted or error-free operation of our websites or platforms;
• that marketing strategies will always produce the same results in the future.

Marketing performance depends on many factors outside our control, including competition, market conditions, platform policies and your own operations.

10. Limitation of Liability

To the maximum extent permitted by law:

• CastGlobe’s total liability for any claim arising out of or relating to the Services or these Terms is limited to the amount of fees you paid to us for the Services giving rise to the claim in the three (3) months immediately preceding the event.
• We are not liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, revenue, data or business opportunities, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, but we will apply the maximum limitations permitted by law.

11. Indemnity

You agree to defend, indemnify and hold harmless CastGlobe, our directors, employees, contractors and affiliates from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:

• your use of the Services;
• content or data you provide;
• your violation of these Terms or any applicable law;
• your infringement of any third-party rights.

12. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party and to use it only for purposes of performing or receiving the Services, unless disclosure is required by law or with prior written consent.

13. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Services, you agree that we may process personal information in accordance with that Policy.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles.

Any disputes arising out of or in connection with these Terms or the Services will first be discussed in good faith between the parties. If they cannot be resolved informally, the dispute will be submitted to the courts of Ontario, and you consent to their exclusive jurisdiction and venue.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and may provide additional notice (e.g., email, in-app notification).

Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
